Merchant Agreement

This Merchant Agreement explains the terms that apply when a business, service provider, or merchant applies to onboard, is approved, or uses KD (Kkasi Dash) as a participating merchant on the platform.

1) Parties

This Merchant Agreement (“Agreement”) is entered into between Kkasi Dash (Pty) Ltd (“KD”, “we”, “us”, “our”) and the merchant, vendor, service provider, or business representative accepting these terms (“Merchant”, “you”, “your”).

KD operates a technology platform that helps customers discover, book, request, and where applicable pay for products or services offered by local businesses and merchants.

2) Acceptance of this Agreement

By submitting your merchant onboarding application, uploading supporting documents, activating a merchant profile, or continuing to use the KD merchant platform, you agree to be bound by this Agreement, our Privacy Policy, and our Merchant Onboarding / KYC POPIA Notice.

If you do not agree to these terms, you must not submit or continue with merchant onboarding or use the KD merchant platform.

3) Eligibility and authority

You confirm that:

  • you are at least 18 years old;
  • you are authorised to act for the business you are onboarding, where applicable;
  • all information you provide to KD is true, accurate, current, and complete;
  • you will promptly update any information that becomes inaccurate or outdated.

4) Merchant onboarding and verification

To protect the platform, customers, and participating merchants, KD may require identity, business, banking, address, and other verification documents during onboarding and at any later stage.

You agree that:

  • KD may review and verify the information and documents you provide;
  • KD may request additional documents, clarifications, or updated records;
  • KD may approve, reject, pause, or re-open your onboarding application at its discretion;
  • KD may suspend or limit your merchant account if submitted information cannot be verified or appears inaccurate, misleading, fraudulent, or outdated.

Submission of an onboarding application does not guarantee approval or activation.

5) Merchant responsibilities

You are responsible for:

  • ensuring that your business, goods, and services comply with applicable South African law;
  • maintaining any licences, permits, registrations, approvals, or consents required for your business;
  • keeping your merchant profile, pricing, descriptions, availability, operating hours, and contact information accurate;
  • fulfilling accepted bookings, orders, or requests in a timely and professional manner;
  • treating customers fairly and lawfully;
  • ensuring that content you upload does not infringe any third-party rights.

6) KD platform role

KD provides a digital platform that facilitates visibility, discovery, communication, bookings, service requests, and in some cases payments or payout support.

Unless expressly stated otherwise, KD is not:

  • the manufacturer, seller, or owner of the merchant’s goods;
  • the direct provider of the merchant’s underlying services;
  • responsible for how the merchant performs its obligations to customers.

The merchant remains responsible for the quality, legality, safety, pricing, fulfilment, and delivery of its own goods and services.

7) Orders, bookings, payments, and payouts

Where KD enables bookings, orders, payment collection, settlement, or payout-related workflows:

  • the merchant authorises KD and/or its service providers to process the related transaction data;
  • payouts may be subject to verification, settlement cycles, transaction reviews, disputes, refunds, reversals, or chargebacks;
  • KD may delay, withhold, reverse, or offset amounts where reasonably required for fraud prevention, dispute handling, compliance, refunds, chargebacks, or platform integrity;
  • transaction records kept by KD and its payment/service providers will serve as operational records for reconciliation and support.

Any platform fees, commissions, payout deductions, or related charges applicable to merchants will be disclosed separately by KD, whether in-app, on the website, in onboarding materials, or by direct notice.

8) Merchant content and brand use

You grant KD a non-exclusive, royalty-free licence to use, reproduce, display, format, and distribute your business name, logo, product/service descriptions, menu items, pricing, business images, and related profile content for purposes of operating, marketing, and improving the KD platform.

You confirm that you own or have the right to use and share such content.

9) Prohibited conduct

You must not:

  • provide false, misleading, forged, or stolen documents or information;
  • use KD for unlawful, deceptive, abusive, discriminatory, or harmful activity;
  • manipulate ratings, bookings, transactions, or platform metrics;
  • misuse customer information obtained through the platform;
  • interfere with the security, integrity, or normal functioning of KD.

10) Privacy, POPIA, and KYC data

KD processes personal information in accordance with applicable law and as described in KD’s Privacy Policy and Merchant Onboarding / KYC POPIA Notice.

You acknowledge and agree that:

  • some personal information and business-related information is required for onboarding, verification, platform operation, compliance, fraud prevention, customer support, payout support, and dispute handling;
  • KD may share relevant information with service providers, compliance partners, payment providers, hosting providers, verification partners, and authorities where lawfully required;
  • KD may retain certain onboarding, transaction, and verification records where required for legal, compliance, auditing, fraud prevention, evidentiary, or legitimate business purposes.

11) Suspension, restriction, and termination

KD may suspend, restrict, decline approval, or terminate a merchant account immediately if:

  • onboarding information cannot be verified;
  • the merchant breaches this Agreement;
  • the merchant poses legal, fraud, safety, reputational, or operational risk;
  • KD is required to do so by law, regulator instruction, court order, payment provider requirement, or risk controls.

The merchant may stop using KD at any time, but outstanding obligations, disputes, reconciliation items, fees, audits, and record-retention requirements will survive where necessary.

12) Disclaimers and limitation of liability

KD provides the platform on an “as is” and “as available” basis, subject to applicable law.

To the fullest extent permitted by law, KD is not liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from or related to:

  • use of the platform;
  • merchant/customer disputes;
  • delayed onboarding or verification;
  • temporary outages or technical issues;
  • third-party service interruptions;
  • chargebacks, reversals, or transaction disputes.

Nothing in this Agreement excludes liability that cannot lawfully be excluded.

13) Indemnity

You agree to indemnify and hold KD, its officers, employees, contractors, and affiliates harmless from claims, losses, liabilities, costs, and expenses arising from:

  • your business activities;
  • your breach of this Agreement;
  • inaccurate information or documents you submitted;
  • your goods, services, pricing, fulfilment, or legal non-compliance.

14) Changes to this Agreement

KD may update this Agreement from time to time. Where changes are material, KD may notify merchants by website notice, in-app notice, email, or dashboard alert. Continued use of the platform after the effective date of an updated Agreement constitutes acceptance of the updated version.

15) Electronic acceptance and records

You agree that this Agreement may be accepted electronically and that your acceptance, onboarding submission, checkbox confirmation, account activity, and related electronic records may be used by KD as evidence of your agreement, subject to applicable law.

16) Governing law

This Agreement is governed by the laws of the Republic of South Africa.
